& Paykel Healthcare 2003 Share Option Plan. The issue of Options and shares
under the Option Plan was approved by the Board on 20 August 2014.

1,900 Options were cancelled on 5 December 2017 pursuant to the Cancellation
Offer approved by shareholders at the ASM held on 12 August 2004. 1,193
shares were issued in consideration of the cancellation of the options and
are equal in value to the gain on the options (such gain being calculated
based on an exercise price of $4.88).
